  • Assignment and assumption do not automatically release the assignor or a guarantor; any release must be express, signed, scoped, and consistent with the liability matrix.
  • Security deposits, prepaid rent, credits, allowances, balances, refunds, later reconciliations, and closing payments are classified and allocated separately.
  • The instrument preserves the underlying lease except for each express signed change and does not waive restrictions on later transfers by implication.

Frequently asked questions

Does assignment release the current tenant?

Not automatically. Continuing, released, limited, or requested-but-pending treatment must agree across the assignment, landlord consent, and liability schedule.

Is landlord consent included?

Yes, as an optional execution branch when required or desired. The product can be purchased and prepared without pretending consent has already been granted.

What happens to the deposit and prepaid rent?

Each receives a separate classification, amount, period, holder, transfer or credit method, payer, recipient, landlord acknowledgment, and evidence.

Does this replace the lease?

No. It transfers the identified tenant interest and preserves the lease except for express signed changes.

What if closing conditions fail?

The failed-closing section covers the outside date, extensions, waivers, return of money and documents, possession, interim charges, survival, and no-effect treatment.
