Questions about this document

What is a Master SaaS Agreement?

Establish a reusable cloud-software contracting framework for multiple later Order Forms, products, subscriptions, affiliates, environments, user groups, or purchases, with explicit document precedence, order authority, product-specific service levels and data terms, independently traceable economics, a live order ledger, and coordinated default, termination, transition, export, retention, and deletion outcomes.

How do I create a Master SaaS Agreement?

A SaaS provider expecting one customer to buy additional products, environments, seats, or usage over time; An enterprise relationship where customer affiliates may sign or participate through separate Order Forms; A multi-product platform requiring different subscription periods, SLA targets, data terms, or commercial variables by order

What should a Master SaaS Agreement include?

Provider, customer, participating affiliates, master dates, notices, account contacts, order signers, authority limits, incorporated documents, and precedence; Each product, edition, module, environment, user class, metric, quantity, subscription period, order exception, amendment, and active-order status; Order-level base and usage fees, billing, taxes, promotions, credits, renewals, price changes, consolidated invoice treatment, and reconciliation; Master account structure, acceptable use, customer dependencies, support, maintenance, product-specific SLA measurements, service changes, and deprecation; Data categories, processing, security responsibilities, incidents, subprocessors, backups, locations, integrations, exports, retention, deletion, IP, confidentiality, warranties, indemnities, insurance if selected, liability, cross-default, transition, and signatures

Special situations

  • An Order Form changes master language only through an express exception identifying the affected clause and order; it does not silently rewrite other orders.
  • Affiliate participation identifies the actual contracting entity, responsibility, billing, data separation, limits, claims, and departure outcome.
  • Cross-default may be isolated, limited to materially linked orders, or defined master-wide, with affected services and data stated explicitly.
  • Master termination and order termination are different events; every active order receives an express continuation or termination outcome.

Frequently asked questions

How is this different from the SaaS Agreement?

This product creates reusable master terms and an Order Form process for multiple products or purchases. The SaaS Agreement covers one identified subscription.

Can an Order Form override the master agreement?

Only through an express exception identifying the affected master clause and order. The selected precedence rule does not silently alter unrelated orders.

Can affiliates participate?

Yes, when selected. The agreement records whether an affiliate becomes a party, who signs, who bears responsibility, and how billing, data, claims, and exit work.

Does one order default terminate everything?

Not automatically. The selected isolated, materially linked, or defined master-wide approach determines which orders, services, users, and data are affected.

What if the master ends while orders remain active?

The master-termination terms expressly state whether each active order terminates or survives and which master provisions continue.
