How do I create a Reseller Agreement?
A software company authorizing a reseller for licenses or recurring subscriptions; A product provider using authorized resellers without creating a full inventory-distribution program; A services firm allowing a channel partner to resell implementation, training, hosting, maintenance, or support
What should a Reseller Agreement include?
Provider, reseller, offerings, customer types, territory, channels, appointment, reserved accounts, deal registration, downstream partners, and term; Goods, software/subscription, service, and bundle details with their delivery, activation, acceptance, renewal, warranty, support, refund, and remedy lifecycles; Merchant of record, customer contracting party, quote and order process, biller, collector, pricing authority, discounts, settlement, taxes, refunds, and chargebacks; Customer documents, onboarding, first-line support, escalation, warranties, service levels, service credits, and unauthorized-promise limits; Marketing, brand use, claims, confidentiality, customer data, security, IP, compliance, targets, risk, termination, active customer commitments, and transition
Special situations
- This product supports goods, software subscriptions or licenses, services, and bundles without treating all four as the same offering type.
- Merchant of record, customer contracting party, invoice issuer, collector, pricing authority, tax administrator, refund owner, and chargeback owner are selected separately by offering.
- The reseller has no general authority to bind the provider or expand provider licenses, warranties, service levels, refunds, security statements, or other customer commitments.
- Termination of the reseller appointment does not silently terminate an active customer subscription, service, warranty, support issue, refund, service credit, or data obligation.
Frequently asked questions
Can this cover software and services as well as goods?
Yes. Each offering type receives its own fulfillment, activation, acceptance, renewal, warranty, support, refund, and remedy path.
Who signs the agreement with the customer?
The parties select the customer contracting party by offering and reconcile merchant, billing, tax, refund, support, and data roles to that selection.
Who sets the customer price?
The workflow supports independent reseller pricing where the reseller is seller, provider pricing where the provider is merchant, or an offering-specific split.
Who provides support?
First-line support may be assigned to the reseller, provider, or by offering, with one coordinated escalation and customer-communication path.
What happens to customers after termination?
Every open order, subscription, service, warranty, support issue, refund, service credit, renewal, and data duty retains one owner through completion or valid transfer.
